Partner Program Terms of Service

. Partner Program
1. This Partner Program Terms of Service (the “Program ToS”) sets forth the terms and conditions governing participation in InMotion Hosting, Inc., its parent, subsidiaries, affiliates, and brands (collectively, “Company”) partner programs, including but not limited to the Affiliate Program and Agency Partner Program (collectively, the “Program”), and is made and agreed to between Company and the participating partner (“Partner”).
2. For purposes of this Program ToS:
  1. “Affiliate Partner” refers to a participant who refers prospective customers to Company in exchange for commission-based compensation and is not required to be a Company customer.
  2. “Agency Partner” refers to a participant who is an active customer of Company and may refer, manage, or operate client accounts while receiving program benefits, including commissions, discounts, or other incentives.
3. Partner’s acceptance of this Program ToS signifies that Partner has read, understands, acknowledges, and agrees to be bound by this Program ToS, along with:
  1. Company’s Universal Terms of Service (“UToS”), available at: https://www.inmotionhosting.com/legal/
  2. The Impact.com Master Campaign Agreement (for Affiliate Partners), available at: https://app.impact.com/public/legal/content/MCA.ihtml
  3. The PartnerStack SaaS Agreement (for Agency Partners), available at: https://partnerstack.com/legal/saas-agreement
  (collectively, the “Platform Agreements”), which are incorporated herein by reference where applicable. In the event of a conflict between this Program ToS and any Platform Agreement, this Program ToS shall control except where compliance with the applicable Platform Agreement is required for participation in the relevant Program.
4. Company, in its sole discretion, may change or modify this Program ToS and any policies or agreements, including the Platform Agreements incorporated herein at any time, and such changes shall be effective immediately upon posting. Partner’s continued participation in the Program after such changes have been made shall constitute acceptance of the revised terms.
5. Partner must maintain accurate, complete, and up-to-date account information at all times, including contact and payment details. Company assumes no liability for failure to receive communications due to inaccurate information.
6. Only individuals eighteen (18) years of age or older may participate in the Program.
Program Overview
1. The Program enables Partners to promote, refer, and/or manage customer relationships with Company in exchange for commissions, discounts, or other incentives, as determined by Company.
2. Affiliate Partners may earn commissions by referring prospective customers to Company through approved tracking links, campaigns, or other authorized referral methods. Commission eligibility is subject to attribution rules, validation periods, and payout terms defined within the applicable Program Platform.
3. Agency Partners are active customers of Company who may earn benefits through referring new customers, managing client accounts, or consolidating services with Company. Benefits may include recurring commissions, account-level discounts, service incentives, or other program-specific rewards, as defined within the Partner’s account portal or Program Platform.
Commissions and Benefits
1. Commission structures, eligibility, attribution models, benefit tiers, and payout timing may vary by Program and will be defined within the applicable Program Platform or Partner account portal.
2. By participating in the Program, Partner acknowledges and agrees that:
  1. Commission eligibility may be based on referrals, managed accounts, or other qualifying activities;
  2. Attribution windows, payout timing, and validation periods may differ by Program type;
  3. Commissions are only eligible for referrals that are successfully tracked and attributed through Company-approved methods;
  4. Benefits available to Agency Partners may include account-level discounts or service incentives that are not considered referral commissions;
  5. Company reserves the right to modify commission structures, benefit tiers, and payout terms at any time in its sole discretion.
3. Partner will not earn commissions on purchases made for their own accounts or accounts under their direct control, unless explicitly permitted under the applicable Program terms. Benefits related to a Partner’s own account, including discounts or service incentives, are not considered commissionable referrals unless otherwise specified.
4. Company does not guarantee any level of earnings or performance as a result of participation in the Program.
Marketing and Promotion Guidelines
1. Company reserves the right to approve or deny participation in the Program at its sole discretion. Partner agrees to comply with all marketing and promotion guidelines established by Company.
2. Partner agrees not to:
  1. Incorporate or use Company’s trademarks (including the registered trademark InMotion Hosting®), in domain names, URLs, or branding, or in any paid advertising, including but not limited to ad copy, display URLs, or sponsored placements, without prior written approval;
  2. Conduct paid search campaigns using Company-branded keywords without authorization;
  3. Misrepresent Company’s services, pricing, or offerings;
  4. Use deceptive, misleading, or unethical marketing practices;
  5. Engage in spam, unsolicited communications, or indiscriminate advertising;
  6. Display or promote content that is illegal, defamatory, obscene, abusive, or otherwise objectionable;
  7. Participate in fraudulent, abusive, or low-quality traffic generation practices;
  8. Share account credentials or grant unauthorized access to Program accounts.
3. Affiliate Partners specifically may not:
  1. Use tracking methods that artificially generate clicks or commissions;
  2. Use iframes, forced clicks, or similar techniques to set tracking cookies without user intent;
  3. Override or interfere with other Partners’ referral tracking.
4. Partner agrees to use only approved marketing materials, links, and branding provided by Company and to use them in accordance with Company guidelines.
Payouts
1. Commission payouts, validation periods, and payment schedules are determined by the applicable Program Platform and Partner’s program terms.
2. Company may delay, adjust, or withhold payouts for transactions that are subject to refund eligibility, fraud review, policy violations, or other compliance concerns.
3. Company will not be responsible for payments below any minimum payout threshold established within the applicable Program Platform.
4. Upon termination of participation in the Program, Company reserves the right to apply administrative fees or deduct unpaid balances as permitted by applicable Program terms.
Partner Responsibilities and Privacy Obligations
1. Partner agrees to maintain a privacy policy that complies with all applicable laws and regulations and accurately discloses Partner’s collection and use of user data.
2. Partner must disclose the use of cookies, tracking technologies, and third-party tools where applicable.
3. Failure to comply with this Section may result in termination from the Program and forfeiture of any unpaid commissions.
FTC Endorsement Compliance
1. Partner agrees to comply with all applicable laws and regulations, including the United States Federal Trade Commission (“FTC”) guidelines regarding endorsements and testimonials.
2. Partners, particularly Affiliate Partners, must clearly and conspicuously disclose any material connection with Company, including the receipt or expectation of compensation.
3. Company reserves the right to review Partner content and require modifications to ensure compliance. Failure to comply may result in withholding of commissions, reimbursement obligations, or termination from the Program.
Program Availability
1. Company will use commercially reasonable efforts to provide access to the Program; however, availability is not guaranteed.
2. Company is not liable for interruptions, downtime, or platform unavailability.
Termination
1. Company reserves the right to suspend or terminate Partner’s participation in the Program, in whole or in part, at any time and for any reason.
2. Grounds for termination include, but are not limited to:
  1. Violation of this Program ToS or any related agreement;
  2. Fraudulent or abusive activity;
  3. Failure to comply with Program guidelines;
  4. Inactivity or failure to meet Program standards.
3. Upon termination, Partner may forfeit any unpaid commissions or benefits, as determined by Company in its sole discretion.
Indemnification
1. Partner agrees to indemnify, defend, and hold harmless Company and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, or expenses arising out of or related to:
  1. Partner’s participation in the Program;
  2. Partner’s violation of this Program ToS or applicable laws;
  3. Partner’s marketing or promotional activities;
  4. Any acts or omissions by Partner.
Program-Specific Terms
1. Certain terms, including commission structures, attribution models, benefit tiers, eligibility requirements, and program rules, may differ between the Affiliate Program and Agency Partner Program.
2. These terms will be communicated through the Partner’s account portal, onboarding materials, or Program Platforms and are incorporated into this Program ToS by reference.
