IS A PRECONDITION TO ALLOW YOU TO VIEW A SOC REPORT<\/b><\/p>\n
Thank you for requesting a copy of certain SYSTEM AND ORGANIZATION CONTROLS (SOC) REPORTS (each a \u201cReport\u201d and collectively, the \u201cReports\u201d) utilized by InMotion Hosting, Inc. for itself and its affiliates, subsidiaries, and all associated brands under its ownership, management, or control, and any future brands or entities that may be established, acquired, or rebranded and on behalf of IMH\u2019s third-party data center providers (each a \u201cData Center\u201d and collectively, \u201cData Centers\u201d) (collectively, \u201cIMH\u201d).\u00a0\u00a0<\/span><\/p>\n Upon completion of the form below and approval by IMH, a Non-Disclosure Agreement (\u201cAgreement\u201d) will be sent to you which requires that you maintain the confidentiality of any nonpublic and confidential information about or disclosed in the Report(s) you receive from IMH, including without limitation, as a result of reading the Report(s) or in any e-mail or other communication arising out of or relating to any matters covered in the Report(s).\u00a0<\/span><\/p>\n The Report(s) was prepared solely for the benefit and use of the Data Centers and, for limited purposes in accordance with the requirements of the American Institute of Certified Public Accountants, the Data Centers\u2019s existing user entities (i.e., IMH) and their user entities, each of their auditors and certain prospective user entities identified by the Data Centers who agree to the confidentiality and use restrictions contained herein (each, a \u201cPermitted Recipient\u201d). No other parties are authorized to access the Report(s). Your access to the Report is subject to your agreement (on behalf of yourself and any other Permitted Recipient with which you share the Report(s)) to the terms and conditions set forth in theAgreement.<\/span><\/p>\n If a party that is <\/span>not<\/i><\/b> a Permitted Recipient of the Report(s) (\u201cUnauthorized Party\u201d) comes into possession of any Report, you and such Unauthorized Party must immediately advise IMH of such receipt and (at IMH\u2019s option) return the Report(s) to IMH or destroy all copies of the Report(s) in possession.\u00a0 In no event shall any Unauthorized Party use or further distribute the Report(s) or rely on the Report(s), and no Unauthorized Party shall acquire any rights against IMH or the Data Centers as a result of such possession. Neither IMH nor the Data Centers assumes any duties or obligations to the Unauthorized Party.<\/span><\/p>\n The unauthorized use, reproduction, or distribution of the Report(s), in whole or in part, is strictly prohibited.
